1. Acceptance of Terms

By downloading, accessing, or using Ball AI, Ball AI Teams, or any related websites or services operated by Automatic AI, Inc. (collectively, the "Services"), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Service

Ball AI is a basketball training and performance-analysis platform developed by Automatic AI, Inc. The Services include a consumer training app and Ball AI Teams, a team-based coaching product. Features may include workout recording, video upload, performance analysis, coaching feedback, basketball training advice, drills, programs, sharing tools, and team features.

When you record or upload a workout, the Services may capture video, audio, images, and related performance data; store that content; analyze it in order to operate the Services; and make it available for playback, coaching, and review.

Athletes may receive basketball advice, drills, programs, feedback, and analytics from their workouts. Coaches and team staff, where applicable, may access player data and workout videos. Automatic AI, Inc. and its authorized personnel may also access, view, and process your videos and data as described in Section 5 and in our Privacy Policy. All training advice and programs are subject to the disclaimers in Section 8.

3. User Registration

To access certain features of the Services, you must create an account. In Ball AI Teams, you may register as either a coach or a player, and your role will determine the features and data you can access. During registration, you'll be asked to provide personal information, such as name and email address. Coaches may also provide team names, player rosters, and notes. Players may be asked for optional performance-related data including height, weight, level of play, and position. You are responsible for ensuring that all information provided is accurate and kept current. For more details on how we manage, access, and protect your data, refer to our Privacy Policy.

4. User Conduct

Users of the Services must act responsibly and respectfully within the app and toward other users. This includes:

Violation of these guidelines may result in suspension or permanent termination of your account.

• Coaches using player data and videos solely for training and performance development
• Players engaging respectfully with teammates and staff
• Recording only content you have the right to record, and obtaining any required consent from people who appear or are heard in your videos
• Refraining from sharing explicit, abusive, or unauthorized content
• Not impersonating other users or accessing data outside your role's permissions
• Not using the app for commercial, non-sports-related, or abusive purposes

5. User Content, Videos, and Our Access

You may record, upload, or submit videos, photos, audio, feedback, and other materials through the Services ("User Content"). You retain any ownership rights you have in your User Content, subject to the licenses and permissions granted in these Terms.

By recording, uploading, or otherwise submitting User Content, you grant Automatic AI, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, modify, create derivative works from, display, perform, and otherwise use your User Content and related data to operate, provide, and improve the Services, to provide support, and as described in our Privacy Policy. This license lasts for as long as we retain the content under our Privacy Policy.

You acknowledge and agree that Automatic AI, Inc., including our employees, contractors, and authorized personnel, may access, view, and process your User Content and other data associated with your account.

You represent and warrant that you have all rights, consents, and permissions necessary to record, upload, and license User Content as described here, including from any person who appears or is heard in a recording. You agree not to submit User Content that infringes anyone's rights or violates law.

You understand that using camera, microphone, or upload features is optional in the sense that you may choose not to use those features, but if you do use them, the collection, storage, analysis, and access described in these Terms and the Privacy Policy will apply.

6. Intellectual Property

All content and technology used in the Services—including text, graphics, images, features, software, and code—is the property of Automatic AI, Inc. or its licensors, and is protected by copyright, trademark, and other intellectual property laws. Materials we generate from your use of the Services are part of the Services and are owned by Automatic AI, Inc., without limiting your ownership of your original recordings as described above.

Users agree not to copy, reverse-engineer, distribute, or otherwise misuse any proprietary features or materials without express written permission.

7. Subscription and Payment

Your subscription may auto-renew unless you cancel it at least 24 hours before the current period ends. Prices are subject to change, and we will notify you of any changes via email or in-app notifications.

All sales are final unless required otherwise by law. Users are responsible for managing their subscription through their respective billing platform.

8. Training Advice; Assumption of Risk; No Liability for Injury or Skill Outcomes

The Services provide basketball training information, advice, drills, workouts, programs, and coaching feedback. This content is for general informational and educational purposes only. It is not medical advice, physical-therapy advice, or a substitute for in-person instruction from a qualified coach, trainer, physician, or other professional.

Basketball, athletic training, and following any drill or program involve inherent risks of injury, including strains, sprains, fractures, overuse injuries, concussion, and in rare cases serious injury or death. You are solely responsible for deciding whether you are healthy enough to train, for using a safe environment and appropriate equipment, for using proper form, and for stopping immediately if you feel pain, dizziness, or other warning signs. Consult a physician before beginning or changing any training program, especially if you have an existing injury or medical condition. If you allow a minor to use the Services, you are responsible for supervising that training and assuming these risks on the minor's behalf.

We do not promise that you will improve, maintain, or achieve any particular skill, performance, ranking, recruiting, team, or fitness result by using the Services or following our programs. Results vary. Advice and feedback may be incomplete, inaccurate, or unsuitable for you.

To the fullest extent permitted by law, you assume all risk of injury, illness, property damage, and lack of skill improvement arising from your use of the Services or from following any basketball advice, drill, workout, or program we provide. You agree that Automatic AI, Inc., its officers, employees, contractors, and affiliates are not liable for any such injury, illness, death, property damage, or skill, performance, or training outcome, whether caused by your reliance on our advice, by a defect in a program, or otherwise. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Limitation of Liability

To the fullest extent allowed by law, Automatic AI, Inc. shall not be liable for:

Use of the Services is at your own risk and offered "as-is" without warranties of any kind, including any warranty that training advice, drills, programs, or feedback will be accurate, complete, safe, or effective for you.

• Indirect, incidental, or consequential damages
• Loss of data, business interruption, or personal injury from app use
• Personal injury, illness, or death arising from basketball training, drills, workouts, programs, or other use of the Services
• Failure to improve basketball skill, performance, fitness, or any other training outcome
• Reliance on basketball advice, drills, programs, or coaching feedback
• Content or behavior of any third party or team member within the app
• Unauthorized access to your data
• The accuracy, completeness, or usefulness of coaching feedback

10. Dispute Resolution

If a dispute arises relating to these terms or your use of the Services, both parties will first attempt to resolve the matter informally. If unsuccessful, disputes will be settled by binding arbitration under the rules of the American Arbitration Association, conducted in English. The decision of the arbitrator will be final and binding.

11. Termination

Automatic AI, Inc. reserves the right to suspend or terminate your account at any time, without notice, if you breach these terms or misuse the app. Users may delete their account by discontinuing use or contacting customer support. Termination or account deletion does not immediately eliminate copies we may retain as described in the Privacy Policy.

12. Changes to These Terms

We may update these Terms of Use periodically. The updated version will be posted on this page with a new "Last Updated" date. Continued use of the Services after changes implies acceptance of the revised terms.
